Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DataBridge website at databridge.tech and the DataBridge Cloud platform ("the Service") provided by DataBridge Tech ("DataBridge", "we", "us"), a company based in the Netherlands.

By creating an account, using the Service, or clicking "I agree", you ("Customer", "you") accept these Terms. If you do not accept them, do not use the Service.

1. The Service

DataBridge Cloud is a unified platform for event ingestion, schema validation, data transformation, data delivery and data quality monitoring. Specific features, limits and pricing are described on our Pricing page and in our documentation.

The Service is currently in closed beta. Access is granted on a per-request basis. Beta features may change, be withdrawn, or behave unpredictably. We will give reasonable notice of material changes.

2. Eligibility and Accounts

  • You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organisation you represent.
  • The Service is intended for business and professional use.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • Notify us immediately at hi@databridge.tech if you suspect unauthorised access.

3. Fees, Billing and Plans

  • Paid plans and their associated limits are listed on the Pricing page. Fees, unless stated otherwise, are exclusive of VAT and other applicable taxes.
  • During the closed beta, free-tier use may be granted at our discretion.
  • Once billing is enabled, charges will be invoiced in advance for the subscription term you select. Non-payment may lead to suspension of the Service after reasonable notice.
  • Upgrades take effect immediately; downgrades take effect at the next billing cycle.
  • Overage charges (e.g. extra delivered events or extra destinations) are billed according to the rates on the Pricing page at the time of use.

4. Customer Data

  • You own your data. All events, schemas, configurations and content you send to the Service ("Customer Data") remain yours.
  • You grant us a limited licence to process Customer Data solely to provide, secure and improve the Service.
  • We act as your data processor under the GDPR. A Data Processing Agreement is available on request at hi@databridge.tech.
  • Customer event payloads are buffered for up to 12 hours and deleted immediately upon successful delivery to all configured destinations. See our Privacy Policy for full retention details.
  • You are responsible for ensuring that the Customer Data you send us complies with applicable law and that you have the rights and legal bases to process it.

5. Acceptable Use

You agree not to:

  • Use the Service to violate any law or third-party right
  • Send content that is unlawful, defamatory, infringing, or harmful
  • Attempt to reverse-engineer, disassemble, or gain unauthorised access to the Service, other customers' data, or our infrastructure
  • Interfere with or disrupt the Service (for example via denial-of-service, excessive ingestion beyond fair-use limits, or malicious payloads)
  • Use the Service to send unsolicited communications (spam)
  • Transmit special-category personal data (Art. 9 GDPR) without having implemented appropriate safeguards and informing us in advance
  • Resell, sublicense, or offer the Service to third parties without our written consent

We reserve the right to suspend or terminate access for any material breach of this Section 5.

6. Fair Use and Ingestion Limits

To keep the platform reliable for everyone, ingestion volume is subject to a fair-use limit of up to 10x your plan's delivered-event allowance. If you consistently exceed this ratio, we will contact you to discuss a plan that better fits your usage.

7. Intellectual Property

  • We and our licensors retain all rights, title and interest in and to the Service, including software, documentation, trademarks and design. Nothing in these Terms transfers ownership to you.
  • "DataBridge" and associated logos are trademarks of DataBridge Tech.
  • Open-source components are licensed under their respective licences. dbqctl and dbqcore are open source under the Apache 2.0 licence; see the GitHub organisation for details.
  • Feedback, suggestions, or ideas you provide are non-confidential and we may use them without restriction.

8. Confidentiality

Each party will protect the other's confidential information using at least the same degree of care it applies to its own confidential information and in no case less than reasonable care. Confidential information does not include information that is publicly known, independently developed, or lawfully obtained from a third party.

9. Warranty Disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

During the closed beta in particular, features may be incomplete, data loss or downtime may occur and Service Level Agreements (SLAs) do not apply unless explicitly agreed in writing.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity.
  • Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid us in the 12 months preceding the event giving rise to the claim or (b) €1,000.
  • Nothing in these Terms limits liability that cannot be limited under Dutch law (for example, liability for intent or gross negligence).

11. Indemnification

You agree to indemnify and hold us harmless from and against any third-party claim arising out of your breach of these Terms, your Customer Data, or your unlawful use of the Service.

12. Term and Termination

  • These Terms take effect when you first use the Service and remain in force until terminated.
  • Either party may terminate for convenience with 30 days' notice, subject to any paid subscription commitments.
  • We may suspend or terminate the Service immediately if you materially breach these Terms, fail to pay, or engage in conduct that creates a risk to the Service or other customers.
  • Upon termination, your access to the Service ends and Customer Data will be deleted according to the retention periods in our Privacy Policy. You may export your configuration and data before termination using the Service's export tools.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced via email (to account holders) or a notice on the website at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

Any dispute arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands, unless mandatory law provides otherwise.

15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any Data Processing Agreement, form the entire agreement between the parties regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce any provision is not a waiver of the right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
